Terms of Service

1) Who we are

SoulPal (“SoulPal,” “we,” “us,” or “our”) is building an AI smart pet collar and companion app. The Site may include product information, content, and a waitlist signup.

2) Changes to these Terms

We may update these Terms from time to time. If we make changes, we will update the “last updated” date above. Your continued use of the Site after changes become effective means you accept the updated Terms.

3) Privacy

4) Eligibility

You must be at least 13 years old to use the Site. If you are under the age of majority where you live, you may use the Site only with the consent of your parent or legal guardian.

5) Waitlist and communications

If you join our waitlist or otherwise provide your contact information, you agree that we may contact you about product updates, launches, events, and related communications. You can opt out of marketing emails at any time (for example, via an unsubscribe link if included) or by contacting us at lixiluo66@gmail.com.

6) Accounts and security

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts for inactivity, security concerns, or violations of these Terms.

7) Acceptable use

You agree not to:

• Use the Site in a way that violates any applicable law or regulation.
• Attempt to interfere with the Site’s operation or security (including hacking, probing, or introducing malware).
• Scrape, harvest, or collect information from the Site at scale without our permission.
• Misrepresent your identity or affiliation, or use the Site to impersonate others.
• Use the Site to send unsolicited or unauthorized advertising or spam.

8) User-generated content

If the Site allows you to submit content (such as comments, pet photos, or feedback), you retain ownership of your content. However, you grant SoulPal a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content for the purpose of operating and promoting the Site and our services.

You represent that you have the right to share any content you submit and that it does not violate the rights of any third party (including copyright, privacy, or publicity rights). We may remove user content that violates these Terms or our community guidelines.

9) Intellectual property

The Site and its content (including text, graphics, logos, design, and software) are owned by SoulPal or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Site except as permitted by law or with our written permission.

10) Purchases and pre-orders

If you make a purchase or pre-order through the Site (including via Kickstarter or other crowdfunding platforms), you agree to pay all applicable fees and taxes. Prices and availability are subject to change without notice.

For pre-orders:

• Estimated delivery dates are projections, not guarantees
• You may cancel for a full refund before the product ships
• Refunds will be processed to the original payment method
• Payment processing is handled by third-party providers (e.g., Stripe); their terms also apply

11) Feedback

If you send us feedback, ideas, or suggestions, you grant SoulPal a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without compensation to you.

12) International use and data transfer

SoulPal operates globally. Your information may be transferred to and processed in the United States (where our servers are located) and other countries where we or our service providers operate. By using the Site, you consent to such transfer.

Data protection laws vary by jurisdiction. When we transfer your data internationally, we take appropriate safeguards to protect your information in accordance with our Privacy Policy.

13) Third-party links and services

The Site may link to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

14) No veterinary or medical advice

Information on the Site is for general informational purposes only and is not veterinary, medical, or health advice. Always seek the advice of a qualified professional regarding your pet's health.

15) Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULPAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULPAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULPAL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED $200.

17) Indemnification

You agree to indemnify and hold harmless SoulPal and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site or your violation of these Terms.

18) Termination

We may suspend or terminate your access to the Site at any time if we believe you have violated these Terms or if we must do so to protect the Site, users, or third parties.

19) Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site will first attempt to be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, or litigation in the state or federal courts located in Delaware.

20) Miscellaneous

• Entire agreement: These Terms (and the Privacy Policy) are the entire agreement between you and SoulPal regarding the Site.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale.
